Terms of Service

These Terms of Service ("Terms") govern your use of the Citicus ONE platform and any related services provided by CO2 Compliance Services (UK) Ltd ("we", "us", "our", "the Company"). By accessing or using our services, you agree to be bound by these Terms.
1. Definitions
- "Service" means the Citicus ONE software-as-a-service platform, including all features, updates and related support provided by the Company.
- "Subscriber" means the organisation or individual that has entered into a subscription agreement for the Service.
- "User" means any individual authorised by the Subscriber to access and use the Service.
- "Subscription Period" means the period for which the Subscriber has purchased access to the Service, as specified in the applicable order.
2. Service Description
CO2 Compliance Services (UK) Ltd provides the Citicus ONE platform, a cloud-hosted enterprise application for information risk assessment and security governance. The Service enables Subscribers to assess, quantify and manage information security risks, map controls against compliance frameworks, and generate reports.
3. Account Registration and Access
To use the Service, the Subscriber must register for an account and provide accurate, complete information. The Subscriber is responsible for maintaining the confidentiality of account credentials and for all activities that occur under their account. The Subscriber must promptly notify us of any unauthorised use of their account.
4. Subscription and Payment
- The Service is provided on an annual subscription basis. Fees are as set out in the applicable order or pricing schedule.
- All fees are quoted in British Pounds Sterling (GBP) and are exclusive of VAT, which will be charged at the applicable rate.
- Payment is due at the start of each Subscription Period unless otherwise agreed in writing.
- We accept payment by credit/debit card (processed securely via Stripe), bank transfer and direct debit.
- If payment is not received within 30 days of the due date, we reserve the right to suspend access to the Service until payment is made.
5. Subscription Renewal and Cancellation
- Subscriptions automatically renew for successive periods of the same length unless either party provides written notice of non-renewal at least 30 days before the end of the current Subscription Period.
- The Subscriber may cancel their subscription by providing written notice to accounts@co2compliance.co.uk.
- Upon cancellation, access to the Service will continue until the end of the current paid Subscription Period.

6. Acceptable Use
The Subscriber and its Users agree to use the Service only for its intended purpose and in compliance with all applicable laws. The following activities are prohibited:
- Attempting to gain unauthorised access to the Service, other accounts, or related systems.
- Using the Service to store or transmit malicious code, illegal content, or content that infringes third-party rights.
- Reverse engineering, decompiling, or disassembling the Service.
- Reselling, sublicensing, or redistributing access to the Service without our prior written consent.
- Using the Service in any manner that could damage, disable, or impair the Service or interfere with other users.
7. Data and Privacy
- The Subscriber retains ownership of all data entered into the Service ("Subscriber Data").
- We process Subscriber Data solely for the purpose of providing the Service, in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and Data Protection Act 2018.
- We implement appropriate technical and organisational measures to protect Subscriber Data against unauthorised access, loss or destruction.
- Upon termination of a subscription, Subscriber Data will be available for export for a period of 30 days, after which it will be securely deleted.
8. Intellectual Property
The Service, including all software, documentation, designs, methodologies and content, is the intellectual property of CO2 Compliance Services (UK) Ltd and is protected by copyright and other intellectual property laws. The subscription grants the Subscriber a non-exclusive, non-transferable right to use the Service during the Subscription Period. No ownership rights are transferred.
9. Service Availability
We endeavour to maintain the Service with a target availability of 99.9% measured on a monthly basis, excluding planned maintenance. We will provide reasonable notice of planned maintenance where practicable. We are not liable for any interruption or degradation caused by circumstances beyond our reasonable control.
10. Limitation of Liability
- To the maximum extent permitted by law, the Company's total aggregate liability under or in connection with these Terms shall not exceed the total fees paid by the Subscriber in the 12 months preceding the event giving rise to the claim.
- The Company shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, data, business or goodwill.
- Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Indemnification
The Subscriber agrees to indemnify and hold the Company harmless from any claims, losses or damages arising from the Subscriber's breach of these Terms, misuse of the Service, or violation of applicable laws.
12. Modifications to Terms
We may update these Terms from time to time. We will notify Subscribers of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation.
